User Agreement

This User Agreement ("Agreement") is a contract between you and Sky Nexus Proprietary Limited ("Sky Nexus," "we," "us," or "our") that governs your use of Sky Nexus's services, website, and platforms. By accessing or using our services, you agree to be bound by this Agreement.

1. Acceptance of Terms

By accessing or using Sky Nexus's services, website, or platforms, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

2. Description of Services

Sky Nexus provides various technology services, including but not limited to IT consulting, software development, cybersecurity solutions, web hosting, brand design, social media marketing, and market research. The specific services provided to you will be outlined in a separate service agreement or statement of work.

3. User Accounts

Some of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

4. User Conduct

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. You further agree not to:

• Use our services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our services, or that could damage, disable, overburden, or impair the functioning of our services in any manner;
• Use our services to distribute, upload, or otherwise publish any content that is defamatory, libelous, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable;
• Use our services to distribute, upload, or otherwise publish any content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
• Use our services to distribute, upload, or otherwise publish any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
• Use our services to harvest, collect, gather, or assemble information or data regarding other users, including email addresses, without their consent;
• Interfere with or circumvent the security features of our services or any third-party website, service, or user;
• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services, or which, as determined by us, may harm us or users of our services or expose them to liability.

5. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Sky Nexus, our licensors, or other providers of such material and are protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

This Agreement does not transfer any ownership rights in our services or the content, features, or functionality thereof, to you, and all rights not expressly granted are reserved by Sky Nexus. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
• You may store files that are automatically cached by your Web browser for display enhancement purposes;
• You may print or download one copy of a reasonable number of pages of our website for your own personal, non-commercial use and not for further reproduction, publication, or distribution;
• If we provide social media features with certain content, you may take such actions as are enabled by such features.

6. Payment Terms

If you use any of our paid services, you agree to pay the applicable fees. We may change our fees at any time in accordance with these terms or requirements under applicable law. Payments are non-refundable except as required by law or as otherwise specified in the service agreement or statement of work.

7. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use our services will immediately cease.

8. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. Sky Nexus makes no representations or warranties of any kind, express or implied, as to the operation of our services, or the information, content, materials, or products included on our services.

To the full extent permissible by applicable law, Sky Nexus disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Sky Nexus does not warrant that our services, its servers, or email sent from Sky Nexus are free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Sky Nexus, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our services, including any direct, indirect, special, incidental, consequential, or punitive damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sky Nexus, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of our services.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Sydney, New South Wales, and you hereby consent to personal jurisdiction and venue therein.

12. Changes to this Agreement

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised Agreement. If you do not agree to the new terms, please stop using our services.
